• Provide legal advice on corporate, commercial, labor, banking, financial, and real estate matters. • Draft, review, and negotiate contracts, agreements, MOUs, and NDAs. • Ensure compliance with Cambodian laws and regulatory requirements including AML/CFT. • Liaise with regulators, government authorities, and external legal counsel. • Handle corporate secretarial matters, licenses, permits, and statutory filings. • Conduct compliance monitoring, internal reviews, and risk assessments. • Support management in legal risk management and decision-making.
Human Resources Functions • Support recruitment activities including job posting, CV screening, interview coordination, and onboarding. • Maintain employee records, personal files. • Coordinate probation evaluations, confirmations. • Assist in performance appraisal and training coordination. • Support payroll preparation, attendance tracking, and leave management. • Respond to employee HR-related inquiries. Administration Functions • Manage office administration and daily operational support. • Coordinate office supplies purchasing and inventory control. • Manage company assets, equipment, and vehicle usage records. • Coordinate with vendors, landlords, and service providers. • Support office facilities, cleanliness, and maintenance. • Assist in organizing meetings, events, and internal activities. • Maintain document filing systems and company stamp control.
Legal Advisory & Support • Provide legal advice to management and subsidiaries on corporate, commercial, labor, finan-cial, banking, and real estate matters. • Support legal risk assessment and provide practical legal solutions. • Assist management in decision-making from a legal perspective. Contract Drafting & Review • Draft, review, and negotiate legal documents including: • Contracts and agreements • MOUs • NDAs • Service agreements • Employment contracts • Lease and real estate agreements • Ensure all legal documents comply with applicable laws and company policies. Corporate & Regulatory Matters • Handle corporate secretarial matters: • Company registration and amendments • Licenses and permits • Board and shareholder resolutions • Coordinate with government authorities, regulators, notaries, and external lawyers. • Support regulatory submissions and compliance requirements. Compliance & Legal Control • Ensure compliance with Cambodian laws, regulations, and internal policies. • Monitor changes in laws and regulations and advise management on impact. • Support compliance reviews, audits, and inspections. • Maintain proper filing and documentation
