Contract and Document Management:

  • Assist in drafting, reviewing, and negotiating various legal documents, contracts, and agreements (e.g., sale agreements, lease agreements, service agreements, MOUs, NDAs);
  • Support in preparing application forms for approvals, licenses, permits, and business registrations;
  • Communicate and maintain relationships with internal and external parties, as appropriate, in a highly professional, diplomatic and friendly manner;
  • Able to work extended hours when required with a strong work ethic, including professional self-presentation;
  • Ensure all documents are properly executed, archived, and maintained in an organized manner;
  • Assist in translating the legal documents from Khmer to English and vice versa as required;
  • Provide the general legal support and assistance to the Legal Dept. and stakeholders;
  • Give accurate and timely feedback to a variety of legal topics (commercial, labor, construction, taxation, civil law, contract law, etc.); and
  • Other unexpected tasks and others as happened subsequently.

Legal Research and Analysis

  • Conduct in-depth legal research on Cambodian laws, regulations, and legal precedents relevant to the company's operations (e.g., commercial law, labor law, company law, real estate law, tax law, other regulations, if applicable);
  • Stay informed of legal and regulatory developments and assess their potential impact on the company;
  • Present the research or update about new requirement affected to business operation and present to management/stakeholders and collaborate to devise efficient defense strategies related to business and operational risk; and
  • Prepare legal memoranda, reports, and summaries of research findings.

Compliance and Corporate Governance:

  • Assist in ensuring the company's compliance with all legal and statutory requirements;
  • Maintain statutory books and secretarial records, including registers of members, directors, and secretaries;
  • Support the development and updates of the legal strategies, policies and guidelines;
  • Assist in preparing the notices and disclosures to the relevant authorities as it may have some time; and
  • Support the implementation and coordination of the risk management frameworks and policies.

Liaison and Communication:

  • Liaise with the government authorities, regulators, external legal counsel, auditors, and other stakeholders;
  • Assist in communication and coordination for the court cases or regulatory inquiries; and
  • Communicate the legal advice clearly and constructively to internal teams.

Meeting, Administrative Support and Other Duties:

  • Prepare agendas, take minutes (in Khmer and English) for management, committee, and other critical meetings as required and necessary;
  • Follow up on action items from the meetings;
  • Perform the general administrative and secretarial duties for the Legal Dept.;
  • Maintain and update legal templates and working tools;
  • Manage and organize legal files and databases (data entry, tracking and organizing the secure filing of the Legal Dept.); and
  • Undertake any other legal or administrative tasks as assigned by the management.

Years of Experience:

  • At least two (2) years of experience in a similar position; and
  • Also, proven experience in legal careers or similar with a law firm, property management, real estate or hospitality and/or commercial.

Education:

  • Bachelor degree in law (essential) or any relevant degrees; and
  • Knowledge about the laws, commercial, court procedures, building and properties/real estate management.

Essential Skills:  

  • Good communication skill;
  • Commitment to the company missions;
  • Strong analytical, critical thinking, and problem-solving skills;
  • Familiarity with the legal research techniques; and
  • Flexible and able to respond cheerfully to unexpected request.

Computer’s program:

  • Proficient in Microsoft Office (Word, Excel, PowerPoint, Outlook); and
  • Knowledge about the general computer software.

Languages:

  • Khmer; and
  • English.

Personal Qualification:

  • Strong leadership and management quality;
  • Ability to budget, schedule, negotiate, and control costs;
  • Good interpersonal skill;
  • Ability to work independently and as part of a team;
  • Be able to manage multi-tasks and prioritize;
  • Pro-activeness in thinking and taking actions; and
  • Good understanding about and adaptability to workplace and culture.
