Job Description

1. Contract Management & Commercial Legal Support

  • Draft, review, and negotiate contracts including vendor agreements, service contracts, NDAs, MOUs, and partnership agreements.
  • Ensure contractual terms reflect business requirements and manage legal risks through appropriate clauses and control mechanisms.
  • Maintain contract repository, approval records, and renewal tracking with disciplined documentation standards.

2. Corporate Legal & Governance

  • Support corporate governance documentation such as resolutions, powers of attorney, and corporate filings as assigned.
  • Maintain corporate legal records and ensure documents are properly executed, stored, and retrievable.
  • Support executive governance processes by preparing legal notes, approvals, and documentation guidance.

3. Regulatory & Compliance Legal Support

  • Provide legal support on regulatory requirements and assist Risk & Compliance with legal interpretations as assigned.
  • Coordinate with external counsel on regulatory matters and support preparation of responses to formal legal/regulatory requests.
  • Review customer-facing terms, disclosures, and policies for legal adequacy and consistency.

4. Legal Risk Management & Advisory

  • Identify and advise on legal risks associated with business activities, vendor arrangements, and operational processes.
  • Provide practical legal guidance to departments and recommend mitigations aligned with business objectives.
  • Support incident and dispute matters by coordinating facts, documentation, and legal assessment.

5. Dispute Management & External Counsel Coordination

  • Coordinate with external counsel on disputes, claims, and formal proceedings as required.
  • Support evidence collection, document preparation, and internal coordination for legal matters.
  • Maintain confidentiality and ensure controlled communications for sensitive legal issues.

6. Legal Process Improvement & Training

  • Develop standard templates, clause libraries, and legal workflows to improve turnaround time and consistency.
  • Support awareness sessions on basic legal/compliance topics for internal stakeholders (as assigned).
  • Maintain strong confidentiality and ethics due to access to sensitive corporate information.

Job Requirements

Education & Qualification:

  • Bachelor’s degree in Law (LL.B. or equivalent).
  • Licensed/eligible to practice law in Cambodia (where applicable) is preferred.

Experience (Essential)

  • 5+ years of experience in legal practice or in-house legal roles with strong contract management exposure.
  • Demonstrated capability to draft and negotiate commercial contracts independently.
  • Strong understanding of corporate governance documentation and legal risk management.
  • High integrity, confidentiality, and sound judgement.

Experience (Highly Preferred)

  • Experience in regulated industries (financial services, fintech, securities, telecom) is an advantage.
  • Experience coordinating with regulators or supporting regulatory submissions is an advantage.
  • Strong English legal drafting capability is an advantage.

Skills & Competencies

  • Strong legal drafting and negotiation skills with attention to detail.
  • Practical and solution-oriented advisory approach; able to balance risk and business needs.
  • Strong stakeholder management and ability to communicate clearly with non-legal teams.
  • Strong organization and contract management discipline.

  • Role requires high confidentiality and discretion.
  • May require extended hours during contract negotiations, urgent legal matters, or executive deadlines.
